Zhenro Properties’ $510.2 Million Initial Public Offering

Simpson Thacher represented Zhenro Properties Group Limited (“Zhenro Properties”) in connection with its initial public offering in Hong Kong and Regulation S offering of 1,000,000,000 shares (prior to the exercise of the overallotment option), which raised HK$3.99 billion (US$510.2 million) in gross proceeds.

The ordinary shares of Zhenro Properties are listed on the Hong Kong Stock Exchange. CCB International acted as sole sponsor. CCB International and Guotai Junan International acted as joint coordinators. CCB International, Guotai Junan International and Haitong acted as joint bookrunners and joint lead managers.

Zhenro Properties is a large, comprehensive property developer in China, focusing on development of residential properties and development, operation and management of commercial and mixed-use properties. Headquartered in Shanghai, Zhenro Properties has an active presence in the Yangtze River Delta Economic Region, the Midwest China Economic Region, the Bohai Economic Rim and Western Taiwan Straits Economic Zone. The company, led by Huang Xianzhi, Lin Zhaoyang and Tan Mingheng, in 2017 recorded $2.18 Billion Revenues.
