Walkers’ Cayman Islands, instructed by Kirkland & Ellis LLP, acted as Cayman Islands counsel to Vector Capital in connection with the upsized US$450 million initial public offering of a special purpose acquisition company, Vector Acquisition Corporation II on the Nasdaq Capital Market.
The Company is the second blank check company formed by Vector Capital for the purpose of entering into a combination with one or more businesses with a focus on the technology and technology-enabled services sector. Vector Capital’s previous SPAC (Vector Acquisition Corporation) recently raised US$300 million in September 2020 and is pending an acquisition of Rocket Lab.
Deutsche Bank Securities Inc. and BofA Securities, Inc. acted as joint book-running managers for the offering.
