UnitedHealth Group’s $1.5 Billion Notes Offering

Simpson Thacher represented Merrill Lynch, Pierce, Fenner & Smith Incorporated, Citigroup Global Markets Inc. and J.P. Morgan Securities LLC, as joint bookrunning managers in connection with a public offering by UnitedHealth Group Incorporated of $1.5 billion aggregate principal amount of notes, consisting of $750 million aggregate principal amount of 3.45% Notes due 2027 and $750 million aggregate principal amount of 4.2% Notes due 2047.

The offering closed on December 20, 2016.
