The Walt Disney Company’s $14 Billion Notes Exchange Offer

Cravath represented The Walt Disney Company in connection with its notes exchange offer totaling up to $14 billion.

The Walt Disney Company (NYSE: DIS) announced the expiration and final results of its offer to exchange any and all of the $14,098,439,000 aggregate principal amount of its outstanding senior unsecured notes previously issued pursuant to an exemption from the registration requirements of the Securities Act of 1933, as amended, for an equal principal amount of new notes registered under the Securities Act

The transaction closed on November 26, 2019.
