The Toronto-Dominion Bank $2 Billion Notes Offering

Davis Polk advised the lead managers on an SEC-registered offering by TD Bank of (i) $1 billion aggregate principal amount of its 3.150% senior notes due 2020 and (ii) $1 billion aggregate principal amount of its floating-rate senior notes due 2020, under its medium-term notes program.

TD Securities, BofA Merrill Lynch, Citigroup and Goldman Sachs & Co. acted as Joint Book-Running Managers on the offering.

TD also ranks among the world’s leading online financial services firms, with approximately 12 million active online and mobile customers.
