Swire Pacific Limited’s HK$3 billion proposing privatisation of Hong Kong Aircraft Engineering Company


Slaughter and May, Hong Kong, is advising Swire Pacific Limited in relation to its proposed privatisation of Hong Kong Aircraft Engineering Company Limited (HAECO).

The privatisation will be implemented by way of a scheme of arrangement pursuant to the Companies Ordinance and a withdrawal of the listing of HAECO’s shares on the Hong Kong Stock Exchange.

The proposal was announced on 10 June 2018. The amount of cash payable to the scheme shareholders of HAECO under the proposal is approximately HK$3 billion.

Moelis & Company Asia Limited is the financial adviser to Swire Pacific.

Swire Pacific is an investment holding company incorporated in Hong Kong with limited liability and is listed on the Hong Kong Stock Exchange. Its subsidiaries, associates and joint ventures are engaged in property, aviation, beverages, marine services and trading and industrial businesses.

HAECO is a company incorporated in Hong Kong with limited liability and is listed on the Hong Kong Stock Exchange. Its principal activity is the provision of overhaul and maintenance services for commercial aircraft.
