Stanley Black & Decker, Inc. $1 Billion Notes Offering

Davis Polk advised the joint book-running managers and representatives of the underwriters on an SEC-registered offering by Stanley Black & Decker, Inc. of $500 million aggregate principal amount of 4.250% fixed-rate senior notes due 2028 and $500 million aggregate principal amount of 4.850% fixed-rate senior notes due 2048.

BofA Merrill Lynch, Barclays, J.P. Morgan and Morgan Stanley acted as Joint Book-Running Managers on the offering.

Stanley Black & Decker is a diversified global provider of hand tools, power tools and related accessories, mechanical access solutions (primarily automatic doors), electronic security and monitoring systems, health care solutions, engineered fastening systems and products and services for various industrial applications.
