St. John Knits International’s recapitalization

Simpson Thacher represented St. John Knits International, a portfolio company of Vestar Capital Partners, in a recapitalization transaction whereby existing shares of common stock were exchanged for newly issued shares of Class A-1 convertible preferred stock and the holder of Class A preferred stock received 11,837,697 shares of newly issued common stock.

St. John Knits International, Incorporated designs, manufactures, and markets women’s clothing and accessories. The company, led by Bernd Beetz, Max Weinstein and Robert Green, is based in Irvine (CA).
