Weil advised SFS Ventures s.r.o. in connection with its acquisition, together with Agora S.A., of all of the shares in Eurozet sp. z o.o., an indirect owner of Polish radio station Radio Zet.
Pursuant to an agreement with Czech Radio Center a.s. on February 20, 2019, SFS Ventures and Agora respectively purchased a 60% and 40% stake in Eurozet.
SFS Ventures and Agora also entered into a shareholder agreement that sets forth the detailed terms of cooperation between the investors, as well as the principles of SFS Ventures exiting the investment, including the potential purchase by Agora of SFS Ventures’ stake.
The Weil team was supervised by Warsaw office managing partner Pawel Rymarz (Picture), and by Corporate partner Lukasz Gasinski, who, together with law clerk Marzena Iskierka, was responsible for preparing the transaction documentation and handling the negotiations. Iwona Her, head of the Warsaw office’s antitrust practice, advised on anti-monopoly issues. Marcin Iwaniszyn, a co-head of the Warsaw office’s financial practice, handled the financial aspects of the transaction. Counsel Monika Kierepa was responsible for managing the due diligence.
