As its U.S. stock ownership and connections have grown with its success, Ritchie Bros. was required to transition from filing reports with the SEC and complying with NYSE requirements applicable to a “foreign private issuer”, to compliance with U.S. domestic issuer requirements, including the filing of reports with the SEC on Forms 10-K, 10-Q and 8-K, SEC proxy statements and compliance with Exchange Act Section 16 for insiders.
