RedBall’s Combination With SeatGeek

Fried, Frank, Harris, Shriver & Jacobson acted as counsel to RedBall Acquisition Corp. in the transaction. Cooley advised SeatGeek.

RedBall Acquisition Corp. (RedBall) entered into its definitive business combination agreement with SeatGeek, with the intention of taking SeatGeek public. The combined company will yield an initial enterprise value of approximately US$1.35 billion and is expected to receive approximately US$675 million in gross proceeds, which includes fully committed PIPE of US$100 million, and US$575 million held in trust account of RedBall.

Strategic investors led by early SeatGeek investor Accel, joined by Ryan Smith, owner of Smith Entertainment Group (Utah Jazz) and founder of Qualtrics, Kevin Durant’s Thirty Five Ventures, and a number of others. The transaction is expected to close in the first quarter of 2022.

RedBall is a blank-check company incorporated as a Cayman Islands exempted company and formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses.

SeatGeek is a mobile-focused ticket platform that enables users to buy and sell tickets for live sports, concerts, and theater events.
