Rapid7, Inc.’s $90 Shares Offering

Orrick represented Barclays as underwriter in the public offering by selling stockholders of 3,000,000 shares of Rapid7, Inc. (“Rapid7”) common stock. The underwriter purchased the shares in a bought deal, with aggregate gross proceeds to the selling stockholders in the offering of approximately $90 million.

The selling stockholders included funds affiliated with Technology Crossover Ventures and Bain Capital Ventures that have been stockholders of the company since 2011 and 2008, respectively.

Rapid7 (Nasdaq: RPD) is a leading provider of security and IT analytics and automation solutions for security operations. The company, led by Corey Thomas, Jeffrey Kalowski and Andrew F Burton, in 2017 recorded $200 Million Revenues.
