ProSight Global, Inc.’s $110 Million Initial Public Offering

Davis Polk advised the joint book-running managers and representatives of the underwriters in connection with the $110 million initial public offering of 7,857,145 shares of common stock by ProSight Global, Inc. and certain of its stockholders.

The common stock is listed on the New York Stock Exchange under the symbol “PROS.”

Founded in 2009 and headquartered in Morristown, New Jersey, ProSight is an entrepreneurial property and casualty insurance company that designs insurance solutions intended to help customers improve their business and realize value from their insurance purchasing decision. The company focuses on select niche industries, deploying differentiated underwriting and claims expertise with the goal of enhancing each customer’s operating performance. ProSight’s products are sold through a limited and select group of retail and wholesale distribution partners.

Goldman Sachs & Co. LLC, Barclays Capital Inc., BofA Securities, Inc., Dowling & Partners Securities, LLC, Keefe, Bruyette & Woods, Inc., SunTrust Robinson Humphrey, Inc. and Citizens Capital Markets, Inc. acted as underwriters on the deal.
