Simpson Thacher represented PPL Corporation (“PPL”) in an SEC-registered at-the-market equity program pursuant to which shares of PPL’s common stock having an aggregate sales price of up to $1 billion may be sold from time to time by J.P. Morgan Securities LLC, Barclays Capital Inc. and Citigroup Global Markets Inc., as sales agents.
In addition to the issuance and sale of common stock through the sales agents, PPL also may enter into forward stock purchase transactions with affiliates of the sales agents under the ATM program.
