Bär & Karrer advised Swiss based Private Equity Fund Patrimonium.
The Patrimonium Private Equity Fund SCSp, advised by Patrimonium Private Equity Advisors AG, part of Patrimonium Asset Management AG, acquired a majority stake in the Roth Group, the leading Swiss provider of structural fire protection, technical insulation and coating solutions.
This lays the foundation for a seamless continuation of the Roth Group’s successful business model. At the same time, the transaction creates synergies for both partners and the financial strength of Patrimonium allows for targeted investments in future growth.
Patrimonium will acquire the shares of the Roth Group from Equistone Partners Europe, a European private equity fund, while the existing minority shareholders, consisting of Roth Group employees, will remain unchanged. The focus of Patrimonium and the strategy of the Roth Group complement each other, particularly due to the profound market knowledge.
Patrimonium Asset Management AG is an independent Swiss investment management company for alternative investments, regulated by FINMA.
Patrimonium offers qualified Swiss and international professional investors investment opportunities in the private markets in the categories of real estate, private debt, private equity and infrastructure.
The Roth Group employs a total of around 450 people at locations throughout Switzerland. The company is characterized by networked competence in the three specialist areas of insulation, fire protection and coatings, well-trained employees and a corporate policy that is sustainable for people and the environment. Thanks to its commitment and excellent construction work, the Roth Group today carries out challenging public and private-sector contracts throughout Switzerland and is one of the leading Swiss providers of insulation, fire protection and coatings.
