Pan American Energy, S.L.’s U.S.$300 Million Senior Notes Offer

Simpson Thacher & Bartlett and Martínez de Hoz & Rueda advised Pan American Energy. Linklaters and Bruchou, Fernández Madero & Lombardi represented the banks involved in the offering.

Citigroup Global Markets Inc., HSBC Securities (USA) Inc., Itau BBA USA Securities, Inc., J.P. Morgan Securities LLC. and Santander Investments Securities Inc. were involved in Pan American Energy, S.L., Argentine Branch’s offering of U.S.$300 million 9.125% Senior Notes due 2027, as well as on an abbreviated cash tender offer for any and all of its outstanding 7.875% Senior Notes due 2021.

The notes are secured by a first priority perfected security interest in a debt service reserve account in New York. The proceeds will be used by Pan American Energy, S.L., Argentine Branch to invest in tangible assets and capital goods.
