Navistar International Corporation’s $1.1 Billion High?Yield Senior Notes Offering

Cravath represented the initial purchasers, led by J.P. Morgan Securities, Goldman Sachs & Co. LLC, Citigroup and Deutsche Bank Securities, in connection with the $1.1 billion 144A/Reg. S high?yield senior notes offering of Navistar International Corporation

Navistar International Corporation manufactures and sells commercial and military trucks, diesel engines, school and commercial buses, and service parts for trucks and diesel engines worldwide. The company, led by Troy A. Clarke, Walter G. Borst, Persio V. Lisboa and William R. Kozek is based in Lisle (IL).

Cravath also represented the dealer manager in connection with Navistar’s concurrent cash tender offer. The transaction closed on November 6, 2017.
