Simpson Thacher represented Río Energy S.A., UGEN S.A., and UENSA S.A. (collectively, “MSU Energy”) in connection with the inaugural high yield notes offering consisting of US$600 million aggregate principal amount of 6.875% Senior Secured Notes due 2025, in reliance on Rule 144A and Regulation S.
MSU Energy is engaged in the development and operation of power generation projects in Argentina and forms part of the MSU Group, a leading player in the Argentine agribusiness sector, among other industries such as construction, in Argentina and throughout the region.
The company led by Manuel Santos Uribelarrea Balcarce, Manuel Santos de Uribelarrea Duhau, Gonzalo Edo, Agustín Jorge Eduardo Martignone and Eduardo Inda, is based in Buenos Aires.
MSU Energy will use the proceeds from the offering to repay indebtedness, for working capital purposes and for investment in tangible assets in Argentina and capital contributions to controlled or affiliated companies.
