MSD’s $1.2 Billion Investment in the Miami Marlins

On October 2, 2017, an ownership group led by Bruce Sherman and Derek Jeter announced the completion of its $1.2 billion acquisition of the Miami Marlins, which included a preferred equity investment from an affiliate of MSD Partners, L.P. (“MSD”), the private investment arm of Michael S. Dell’s family office.

Cravath represented MSD in connection with the preferred equity investment. Financial terms of MSD’s investment were not disclosed.

Miami Marlins, L.P. owns a baseball team in Miami, Florida. The company operates a website that offers baseball news, videos, scoreboards, statistics, schedules, and rosters, as well as sells tickets, mobile gaming applications, clothing, and accessories online.

Miami Marlins, led by Jeffrey H. Loria, David P. Samson, Michel Bussiere, Claude Delorme and Elizabeth McConville is based in Miami.

The Cravath team included partner David J. Perkins (Picture) and associate Christopher J. Washington on corporate matters and partner Christopher K. Fargo on tax matters. Alexander E. Greenberg also worked on corporate matters.
