Mortgage Assets Management’s Acquisition Of Stock And Assets Of Reverse Mortgage Solutions


Paul, Weiss advised Mortgage Assets Management, LLC and its affiliate in a stalking-horse purchase agreement to acquire the stock and assets of Reverse Mortgage Solutions, Inc., a subsidiary of Ditech Holding Corporation.

Under the terms of the agreement, Mortgage Assets Management will serve as a proposed stalking-horse bidder in a court-supervised auction and sale process.

Weil, Gotshal & Manges LLP acted as legal counsel, Houlihan Lokey acted as investment banking debt restructuring advisor and AlixPartners LLP acted as financial advisor to Ditech Holding Corporation in connection with the financial restructuring.

Sidley Austin LLP acted as legal counsel and Moelis & Company LLC acted as financial advisor to New Residential in connection with the acquisition of the Company’s forward servicing and originations business.
