Minerva’s Acquisition of JBS Argentina S.A., JBS Paraguay S.A., Industria Paraguaya Frigorífica S.A. and Frigorífico Canelones S.A.

Pul Argentina S.A., Frigomerc S.A. and Pulsa S.A. operating as subsidiaries of Minerva S.A., completed on July 31st, 2017 the acquisition of shares representing 100% of the capital stock of JBS Argentina S.A., JBS Paraguay S.A., Industria Paraguaya Frigorífica S.A. and Frigorífico Canelones S.A., which were up until this date held by JBS S.A. and JBS Handels GmbH, pursuant to the share purchase agreement executed on June 5th, 2017.

Minerva S.A. engages in the farming and slaughtering of livestock and processing of meat in Brazil. It operates through Beef, Pork, and Poultry processing segments. The company, led by Fernando Galletti De Queiroz, Edison Ticle de Andrade Melo e Souza Filho and Iain Anderson Mars, operates 17 slaughtering and boning plants comprising 11 in Brazil, 3 in Paraguay, 2 in Uruguay, and 1 in Colombia.

JBS S.A., a food company, engages in the processing and trading of animal protein in Brazil and internationally. The company, led by Wesley Mendonça Batista, André Nogueira, Gilberto Tomazoni, Miguel De Souza Gularte and Enéas Pestana, is based in Sao Paulo.
