Microsoft’s $8.2 Billion Debt Exchange Offers

Simpson Thacher represented Microsoft Corporation in the transaction.

Microsoft Corporation (“Microsoft”) completed its offers to exchange several series of its outstanding notes for approximately $8.2 billion aggregate principal amount of newly issued 2.921% notes due 2052 and 3.041% notes due 2062, and a cash payment. The exchange offers settled on March 17, 2021.
