Michael Klein’s R$2,3 Billion Acquisition of Via Varejo

The Casino Group, a publicly held company headquartered in France, is the controlling shareholder of Companhia Brasileira de Distribuição, a publicly held company headquartered in Brazil (“GPA”), which sold of the totality of GPA’s shares held in Via Varejo S.A., a publicly held company headquartered in Brazil with its shares registered under the Novo Mercado segment at B3 S.A. – Brasil, Bolsa e Balcão (“B3”).

The transaction involved the sale of the 36,27% stake in Via Varejo held by GPA by means of a block sale action thru B3 for the final aggregate amount of R$2,300,653,316.50 (two billion, three hundred million, six hundred and fifty-three thousand, three hundred and sixteen Reais and fifty centavos).
