Mars’s $9.1 Billion Financing For The Acquisition of VCA Inc.

Simpson Thacher represented Mars, Incorporated in connection with the debt financing for its acquisition of VCA Inc.

The all-cash transaction valued at $9.1 billion is expected to close in the third quarter of 2017 and is subject to customary closing conditions.

VCA is a leading provider of pet health care services in the country delivered through nearly 800 small animal veterinary hospitals in the U.S. and Canada. Upon completion of the transaction, VCA will operate as a distinct and separate business within Mars Petcare, one of the world’s leading pet care providers through its other Veterinary Services businesses, BANFIELD® Pet Hospital, BLUEPEARL® and PET PARTNERS™.
