International Cannabis Corp.’s $13 Million Notes Offering

Bragard & Durán and Aird & Berlis LLP have advised on the deal

International Cannabis Corp (“ICC”), a licensed and authorized producer, developer and vendor of recreational cannabis, medicinal cannabis and industrial hemp in Uruguay, completed a private placement (the “Offering”) of subscription receipts for aggregate gross proceeds of $13,000,000.

The Offering was completed in connection with ICC’s proposed Qualifying Transaction with Shogun Capital Corp.

GMP Securities L.P. acted as lead agent together with Mackie Research Capital Corporation in respect of the Offering.
