Honeywell International Inc.’s $2.7 Billion Notes Offering

Davis Polk advised the joint book-running managers in connection with an SEC-registered offering by Honeywell International Inc.

Honeywell International Inc. offered $600 million aggregate principal amount of its 2.150% senior notes due 2022, $600 million aggregate principal amount of its floating-rate senior notes due 2022, $750 million aggregate principal amount of its 2.300% senior notes due 2024 and $750 million aggregate principal amount of its 2.700% senior notes due 2029.

Headquartered in Morris Plains, New Jersey, Honeywell is a diversified technology and manufacturing company that blends physical products with software to serve customers worldwide with aerospace products and services, turbochargers, energy efficient products and solutions for homes, businesses and transportation, specialty chemicals, electronic and advanced materials, process technology for refining and petrochemicals and productivity, sensing, safety and security technologies for buildings, homes and industries.

Deutsche Bank Securities, J.P. Morgan, Morgan Stanley and Wells Fargo Securities acted as joint book-running managers on the deal.
