H Licensing, LLC’s Acquisition of Trademarks for the Halston Brand and Affiliate Companies

Blank Rome represented H Licensing, LLC, a wholly owned subsidiary of Xcel Brands, Inc., in the acquisition of the trademarks for the Halston Brand, the Halston Heritage Brand, Roy Frowick Brand, and certain other assets of The H Company IP, LLC in exchange for $8.3M in cash, 777,778 shares of common stock of Xcel and potential earn-out payments of up to $6M.

XCel Brands Inc. is a brand licensing and management company. The Company led by Robert W D’Loren, James F Haran and Beth Mitchell engages in the acquisition, design, licensing, and marketing of consumer brands including apparel, footwear, and sporting goods. In 2018 the company recorded $35.5 million revenues.
