Grupo de Moda Soma S.A., the Brazilian fashion retailer that already owns Cris Barros Animale, Farm, Maria Filó, A.Brand, Foxton and Off Premium, announced its plan to acquire yet another brand: NV, a women’s fashion brand founded by the digital influencer and entrepreneur Nati Vozza and her ex-husband and entrepreneur Antonio Junqueira.
The transaction, which is the first acquisition announced by Group Soma after its successful initial public offering earlier this year, is valued at R$210 million based on the estimates provided by the company and subject to completion of due diligence, execution of definitive transaction documents and fulfillment of certain conditions precedent, including approval by local antitrust authorities and corporate approvals by Group Soma.
As a result of the transaction and based on the current estimates, NV’s shareholders will receive a combination of cash-out payment and shares issued by Group Soma, which as listed for trading at B3, the Brazilian stock exchange.
Upon completion of the transaction, both Nati Vozza and Antonio Junqueira will remain directly involved in the NV business, including in the creative direction of the brand, which sales grossed more than R$100 million in 2019.
The acquisition is part of Group Soma’s strategy to expend its brand portfolio after debuting on the stock exchange in July. NV is considered a “fashion unicorn” in Brazil due to its rapid and consistent growth supported by the strong presence of Nati Vozza in social networks and the successful digital sales platform developed by her, associated with the potential for marking expansion and acceleration of the business through the opening of physical stores and wholesale expansion within Group Soma’s own platform.
