Pinheiro Guimarães Advogados has advised Grendene S.A. on the deal. Barbosa, Mussnich e Aragão, Linklaters and Herbert Smith Freehills also participated in the deal.
Grendene S.A., one of the largest world’s producers of footwear, established an international joint venture with 3G Radar Gestão de Recursos S.A., associated to 3G Capital, which may involve initial investments of up to US$100 million.
The joint venture will be named Grendene Global Brands Limited and will be based in the United Kingdom. Grendene Global will operate in countries such as the United States, Canada, China and Hong Kong, being responsible for the distribution of the brands Melissa, Ipanema, Rider, among others.
The joint venture will allow Grendene to expand its business and intensify Grendene’s participation in strategic markets and the development and distribution of its products and brands in other international markets.
The JV will be controlled by 3G Radar, which will hold 50.1% of the share capital of the JV and will appoint 3 members of its Board of Directors. Grendene will hold 49.9% of the share capital of the JV and appoint 2 members of its Board of Directors.
