Gleiss Lutz advises BHS Verwaltungs AG’s takeover offer for BHS tabletop AG

Gleiss Lutz advises BHS Verwaltungs AG, an affiliated company of Serafin group, on its takeover offer for BHS tabletop AG.

BHS Verwaltungs AG entered into a share purchase agreement with the majority shareholders of BHS tabletop AG Münchener Rückversicherungs-Gesellschaft AG, Deutsche Bank AG and proHeq GmbH as well as into further share purchase agreements with shareholders to acquire a total of 86.05% in the share capital and voting rights of BHS tabletop AG. The consummation of the share purchase agreements is subject to the antitrust clearance by the competent authorities. Immediately thereafter, BHS Verwaltungs AG published its decision to launch a voluntary public takeover offer to acquire the shares in BHS tabletop AG from its shareholders.

BHS tabletop AG is a manufacture of porcelain, especially for the hotel and catering industry, listed in the Regulated Market segment in Frankfurt, Berlin, Dusseldorf and Munich as well as in the over-the-counter market in Stuttgart. The company manufactures solely in Germany with locations in Selb, Schönwald (Oberfranken) and Weiden in der Oberpfalz. BHS tabletop AG combines the three porcelain brands Bauscher, Tafelstern professional porcelain and Schönwald.
