Georgia Power Company $342 Million Tax Exempt Bond Remarketings


Hunton Andrews Kurth LLP acted as counsel to Merrill Lynch, Pierce, Fenner & Smith Incorporated, as remarketing agent, for the remarketings of $65,000,000 Development Authority of Burke County (Georgia) Pollution Control Revenue Bonds (Georgia Power Company Plant Vogtle Project), Second Series 2008 (the “2008 Bonds”), $104,600,000 Development Authority of Burke County (Georgia) Pollution Control Revenue Bonds (Georgia Power Company Plant Vogtle Project), First Series 2013 (the “2013 Bonds”) and $173,000,000 Development Authority of Bartow County (Georgia) Pollution Control Revenue Bonds (Georgia Power Company Plant Bowen Project), First Series 2009 (the “2009 Bonds”) and together with the 2008 Bonds and the 2013 Bonds, the “Bonds”).

The Bonds are tax-exempt obligations of Georgia Power Company (“Georgia Power”).

The 2008 Bonds and the 2013 Bonds were initially issued to provide funds to refinance the cost of the acquisition, construction, installation and equipping of the interest of Georgia Power in certain air and water pollution control and sewage and solid waste disposal facilities located at the Vogtle steam electric generating plant in Burke County, Georgia. The 2009 Bonds were initially issued to provide funds to refinance a portion of the cost of the acquisition, construction, installation and equipping of certain solid waste disposal facilities located at Georgia Power’s Bowen steam electric generating plant in Bartow County, Georgia.

Georgia Power is a wholly owned subsidiary of The Southern Company. Georgia Power is engaged in the generation, transmission, distribution, and purchase of electricity and the sale of electric service within the State of Georgia, at retail in over 600 communities (including Athens, Atlanta, Augusta, Columbus, Macon, Rome, and Savannah), as well as in rural areas, and at wholesale currently to OPC, MEAG Power, Dalton, various EMCs, and non-affiliated utilities.
