GasLog’s Take Private Transaction

Cravath and Appleby represented GasLog, while Simpson Thacher represented BlackRock’s Global Energy & Power Infrastructure team (GEPIF) in the transaction.GEPIF will acquire all of the outstanding common shares of GasLog Ltd. that are not held by certain existing shareholders of GasLog for $5.80 per share in cash, including Blenheim Holdings Ltd., which is wholly owned by the Livanos family, and a wholly owned affiliate of the Onassis Foundation. Following the completion of the transaction, GEPIF will hold approximately 45% of GasLog’s common shares. The transaction is expected to close in the second quarter of 2021, subject to customary closing conditions.

GasLog is an international owner, operator and manager of LNG carriers providing support to international energy companies as part of their LNG logistics chain.
