GardaWorld’s $450 Million Senior Secured Notes Offering


Simpson Thacher represented Garda World Security Corporation on the offering.

Garda World Security Corporation issued an offering of US$450 million aggregate principal amount of 4.625% Senior Secured Notes due 2027. The offering was conducted in reliance on Rule 144A and Regulation S under the Securities Act of 1933, as amended.

GardaWorld intends to use the proceeds from the offering, together with cash on hand, to repay US$450 million of borrowings under the term loan portion of its senior secured credit facilities and to pay related fees and expenses.
