Fiserv’s $2.7 Billion Block Trade

Davis Polk advised the representatives of the several underwriters in the transaction, while Simpson Thacher represented New Omaha Holdings L.P.

The transaction consisted of a $2.7 billion block trade of 23,000,000 shares of common stock of Fiserv, Inc. by New Omaha Holdings L.P., an affiliate of KKR & Co. Inc. The shares include 3,000,000 shares purchased pursuant to the full exercise of the underwriters’ over-allotment option. Fiserv’s common stock is traded on the Nasdaq Stock Market under the symbol “FISV.”
