Election of the Deckers board of directors

Cadwalader is representing Marcato Capital Management LP, a San Francisco-based investment manager which manages funds that beneficially own approximately 6.1% of the outstanding common shares of Deckers Outdoor Corporation, in connection with its nomination of a full slate of ten highly qualified candidates for election to the Deckers board of directors at the company’s annual shareholder meeting to be held December 14, 2017.

In connection with the nomination of its slate, Marcato also sent a letter to the Board highlighting Deckers’ ongoing underperformance and failure to take corrective actions to improve profitability and shareholder value.

Cadwalader recently advised Marcato on its investment in, and successful proxy contest against, Buffalo Wild Wings, Inc. and on its investment in Terex Corporation and settlement agreement that put a Marcato representative on the company’s board.
