EB Capital’s Sale of Stake in BR Supply

Pinheiro Guimarães advised EB Capital on the deal.

EB Capital, a Brazilian private equity firm, completed the sale of its entire equity interest in BR Supply to its founder and controlling shareholder Cesar Folle. As a result of the exercise of Folle’s right of first refusal to acquire EB Capital’s stake, Mr. Folle is again the holder of 100% of the capital stock of BR Supply.

BR Supply is one of the leading players in the office supplies market in Brazil, with a national outreach.

EB Capital invested in BR Supply in 2017 and implemented an aggressive growth business plan, which included the acquisition of Staples Brasil in 2019 and the launching of the e-commerce platform Oceano B2B. Since the investment by EB Capital, BR Supply’s revenues grew at a 37% rate per year, reaching approximately BRL600 million in 2020.

Although the purchase price has not been disclosed, EB Capital stated that the transaction represented a return of approximately 25% per year on the investment.
