Dye & Durham Limited’s $570 Million Acquisition of DoProcess

Canaccord Genuity has acted as financial advisor to Dye & Durham, while Bennett Jones LLP and DLA Piper acted as legal counsel. Goodmans LLP advised Dye & Durham on the private placement. Scotiabank, represented by BLG LLP, has acted as financial advisor and McCarthy Tétrault LLP has acted as legal counsel to the seller on the transaction.

Dye & Durham Limited (TSX:DND), a leading provider of cloud-based software and technology solutions designed to improve efficiency and increase productivity for legal and business professionals, announced it acquired DoProcess LP, an Ontario-based provider of practice-specific software for legal professionals from OMERS Infrastructure, a leading global infrastructure investment manager and the infrastructure arm of one of Canada’s largest defined benefit pension plans, for total consideration of approximately $570 million. 

The debt financing included a C$140 million revolving credit facility, a C$305 million term loan facility and a second C$125 million term loan facility.
