Dundee Precious Metals Inc.’s Acquisition of INV Metals Inc.

Cassels acted for INV.

On July 26, 2021, INV Metals Inc. (“INV”) completed its acquisition by Dundee Precious Metals Inc. (“DPM”) pursuant to which DPM acquired all of the issued and outstanding commons shares of INV by way of a statutory plan of arrangement under the Business Corporations Act (Ontario), other than INV shares owned by DPM. Each INV shareholder (other than DPM) will receive 0.0910 of a DPM share for each INV share held.

DPM intends to cause INV Metals to delist its common shares from the Toronto Stock Exchange to submit an application for it to cease to be a reporting issuer, and to otherwise terminate its public company reporting requirements as soon as possible thereafter.

Dundee Precious Metals Inc. is a Canadian-based international gold mining company with operations and projects located in Bulgaria, Namibia, Serbia and Ecuador.
