Dotz’s Acquisition of Netpoints

Pinheiro Guimarães and Carpena Advogados advised on the deal.

CBSM – Companhia de Soluções de Marketing (Dotz), the market leader in the coalition loyalty program industry in Brazil, acquired its rival Netpoints for a confidential purchase price. As a result of the transaction, Dotz will further expand its absolute leadership in the market by adding 15 million new clients to its coalition loyalty program base, which now reaches 40 million clients.

The transaction also brings major retailers to the Dotz coalition and represents a serious move in entering into other geographic regions in Brazil.

Netpoints was previously controlled by Marisa Lojas S.A. and Smiles Fidelidades S.A., that together with the other shareholders sold all of their stake in the company to Dotz.

The transaction has been approved by antitrust authorities in Brazil with no restrictions.

Pinheiro Guimarães advised Dotz with a team including Sérgio Ramos Yoshino (Picture), Marcia Lamarão Rosa e Silva and Lucas Manzoli de Almeida.

Carpena Advogados Associados advised the selling shareholders with Marcio Carpena e Cesar Verch.
