Deutsche Lufthansa AG’s Financing Of Five Airbus A320NEO Aircraft

Freshfields Bruckhaus Deringer advised Deutsche Lufthansa AG on the deal. Norton Rose Fulbright advised NTT Leasing.

Deutsche Lufthansa AG (DLH) financed five Airbus A320NEO aircraft.

The aircraft were financed through sale and lease back structures, with a subsidiary of NTT TC Leasing Co, Ltd. (NTT) acting as lessor and, at the same time, debt-financier. The structures are bespoke in that the transactions are set up with fully debt-funded warehousing structures. The warehousing structures allow for a subsequent structural change in the lessor. In order to address such structural changes, the pre-agreed documentation covers alternative investment structures. All five transactions closed on 29 July 2021.

Freshfields advised DLH on all aspects of the transaction throughout its structuring, documentation, negotiation and implementation.

The DLH team was headed by Markus Ohlert and Matthias Eck.

The Freshfields team comprised partners Konrad Schott (Picture) and Markus Benzing, counsel Johannes Vogel, principal associates Celine Zeng, Franz Nikolaus Tengg and Prerna Sateesh.

The Norton Rose Fulbright team included partners Dr. Ralf Springer and Markus Radbruch, senior associate Serena Or and associates Thomas Crankshaw and Matthias Zimmermann.
