The cooperation agreement is aligned with governance initiatives designed to support Commvault’s new strategic transformation plan.
Pursuant to the cooperation agreement, Elliott has agreed to certain customary standstill provisions, including withdrawing their proposed director candidates for election at Commvault’s 2018 Annual Meeting, and voting in favor of the company’s proposed slate of directors at the 2018 Annual Meeting.
CommVault Systems, Inc. provides data management software applications and related services. The company, led by N Robert Hammer, Brian Brockway and Alan G Bunte, in 2017 recorded $699 Million Revenues.
