Clayton Dubilier & Rice’s £308 Million Acquisition of Wolseley UK

Clayton, Dubilier & Rice (“CD&R”) signed an agreement to acquire Wolseley UK (“Wolseley”), a leading specialist distributor of plumbing, heating, climate control, pipe and infrastructure & utility products in the United Kingdom, from Ferguson plc. Through a carve-out transaction for a net consideration of £308 million, Wolseley will become an independent company wholly owned by CD&R funds and management.

Founded in 1887, Wolseley is a leading UK distributor of plumbing and heating products. The Company operates through 542 branches and three distribution centers and employs approximately 5,000 FTEs.
