Central America Bottling Corporation’s $500 Million 144A/Reg S Bond Offering and $236.6 Million Bond Buyback

Hogan Lovells advised The Central America Bottling Corporation (CBC), a beverage distributor with operations in Central America, the Caribbean and South America, in the issuance of a US$500 million 5.75% Rule 144A/Regulation S notes due 2027 sold in the international markets.

The proceeds will be used to repurchase and redeem all of the outstanding US$300 million 6.75% bonds due 2022 issued in 2012 and 2013. Citigroup Global Markets Inc. and J.P. Morgan Securities LLC acted as initial purchasers. The transaction, which was five times oversubscribed, closed on January 31, 2017.

Hogan Lovells also represented CBC in its first issuances of US$200 million notes due 2022 in February 2012 and the US$100 million reopening in May 2013.
