Centene Corporation’s $1.8 Billion High?Yield Senior Notes Offering

Cravath represented the initial purchasers, led by Citigroup, SunTrust Robinson Humphrey, Wells Fargo Securities and Barclays, in connection with the $1.8 billion 144A/Reg. S high?yield senior notes offering by Centene Escrow I Corporation.

Centene Escrow I Corporation is a wholly owned subsidiary of Centene Corporation, a diversified, multi-line healthcare enterprise. Proceeds of the offering will be used to finance the pending acquisition of Fidelis Care New York by Centene Corporation. Following the acquisition, Centene Escrow I Corporation will merge with and into Centene Corporation. The offering closed on May 23, 2018.
