Bright Horizons’s $471 million Follow-On Offering

Simpson Thacher represented Morgan Stanley & Co. LLC as underwriter in connection with a registered public offering of 4,606,062 shares of common stock of Bright Horizons Family Solutions Inc. (“Bright Horizons”) (NYSE: BFAM), resulting in net proceeds of approximately $471 million to the selling stockholders.

The selling stockholders, including affiliates of Bain Capital Partners, LLC, received all of the net proceeds from the offering.

Bright Horizons is a leading provider of high-quality child care, early education and other services designed to help employers and families better address the challenges of work and family life. The company, led by David H Lissy, Stephen H Kramer and Elizabeth J Boland, in 2017 recorded $1.740 Billion Revenues.
