Blackstone’s Acquisition Of Bourne Leisure

Slaughter and May advised Bourne Leisure on the deal. Blackstone Capital Partners and Blackstone Real Estate have been assisted by Carey Olsen, alongside Simpson Thacher.

Bourne Leisure, a leading UK holiday company, has been acquired by funds managed by Blackstone Capital Partners and Blackstone Real Estate Partners. The transaction was structured as a takeover offer for cash consideration, with a vendor preference share alternative available to shareholders. The three founding families will continue to be involved in the business, which operates under the Butlin’s, Haven and Warner Leisure brands, through a significant minority co-investment alongside Blackstone. The acquisition agreements were signed on 28 January 2021 and the acquisition is expected to be completed by the end of February 2021.
