AES Gener’s $341 Million With Cash Tender Offers

Shearman & Sterling advised AES Gener S.A., a Chilean power company and subsidiary of The AES Corp., in connection with cash tender offers, whereby it purchased $217,637,000 aggregate principal amount of its outstanding 5% senior notes due 2025 and US$110,000,000 aggregate principal amount of its outstanding 5.25% senior notes due 2021 for a total aggregate purchase price, including the early tender premium, of $341,047,018.

Citigroup Global Markets and SMBC Nikko Securities America, Inc. acted as dealer managers.

AES Gener is engaged, directly and through its subsidiaries, in the generation, transmission and supply of electricity in Chile, Colombia and Argentina.
