AerCap’s $1.15 Billion Senior Notes Offering

Simpson Thacher represented the underwriters, led by Merrill Lynch, Pierce, Fenner & Smith Incorporated, BNP Paribas Securities Corp., Goldman Sachs & Co. LLC, HSBC Securities (USA) Inc. and J.P. Morgan Securities LLC, in connection with the registered public offering by AerCap Ireland Capital DAC and AerCap Global Aviation Trust, subsidiaries of AerCap Holdings N.V. (“AerCap”), of $600 million aggregate principal amount of 3.3% Senior Notes due 2023 and $550 million aggregate principal amount of 3.875% Senior Notes due 2028.

AerCap intends to use the net proceeds of the offering for general corporate purposes, including to acquire, invest in, finance or refinance aircraft assets and to repay indebtedness.

AerCap is the global leader in aircraft leasing with 1,506 owned, managed or on order aircraft in its portfolio as of September 30, 2017. AerCap serves approximately 200 customers in approximately 80 countries with comprehensive fleet solutions from its headquarters in Dublin, with offices in Amsterdam, Los Angeles, Shannon, Fort Lauderdale, Singapore, Shanghai, Abu Dhabi, Seattle and Toulouse.
