Adobe’s $4.75 billion acquisition of Marketo

Kirkland & Ellis, Hogan Lovells and Davis Polk advised on the deal

Adobe executed its acquisition of Marketo, the market-leading cloud platform for B2B marketing engagement, for US$4.75 billion. This acquisition brings together the richness of Adobe Experience Cloud analytics, content, personalization, advertising and commerce capabilities with Marketo’s lead management and account-based marketing technology to provide B2B companies with the ability to create, manage and execute marketing engagement at scale.

The transaction, which is expected to close during the fourth quarter of Adobe’s 2018 fiscal year, is subject to regulatory approval and customary closing conditions. Until the transaction closes, each company will continue to operate independently.

Hogan Lovells advised Adobe with Silicon Valley M&A partner Jane Ross (Picture). She was assisted by corporate law clerk Dylan Hanson and associates Lauren Zachry, Brittany Chiang and Evan Orman. San Francisco IPMT partner John Brockland and senior associate Polly Sims advised on IP matters. Additional support was provided by partners Mike Frank and senior associate Ben Clark on executive compensation.

Kirkland & Ellis LLP advised Vista Equity Partners on the sale of Marketo, Inc. with a team including Stuart Casillas and Abtin Jalali.
