T-Mobile’s $27 Billion Debt Financing

Fried, Frank, Harris, Shriver & Jacobson and Wachtell, Lipton, Rosen & Katz advised T-Mobile in the debt financing in connection with the merger of T-Mobile and Sprint Corporation.

The financing consisted of (i) senior secured credit facilities that included US$4 billion of term loans and US$4 billion of revolving commitments and (ii) a US$19 billion senior secured bridge term facility. The proceeds of the financing were used to refinance certain existing debt that was repaid in connection with the merger and for general corporate purposes. The combined company will operate under the name T-Mobile and will focus on US wireless, video, and broadband technology and services.
